TERMS AND CONDITIONS

1. SUPPLY SCOPE

The present general sales conditions of 360 Pro Stone, Lda. (PRO STONE), corporate entity no. 516 142 585, headquartered at Rua da Rasa, No. 314, 1st floor, Room 2, 4400-268 Vila Nova de Gaia, apply to all commercial transactions and bind the Client to them.

1. The scope of supply is determined by the confirmation of the order by 360 Pro Stone.

2. Any changes or additions to the order will only be valid after acceptance by 360 Pro Stone in writing.

3. The products installed or made available to the Client are the property of 360 Pro Stone until their total settlement. The Client undertakes to inform third parties of this reservation when applying or installing the products.

4. The general sales conditions of 360 Pro Stone will always be applied and prevail over any general conditions of the Client. Any cancellation or inapplicability mentioned in the Invoice can only be accepted if it has been agreed upon or consented to in writing.

5. Orders are subject to the availability of 360 Pro Stone's stock or the indication of the delivery time of raw materials by suppliers. This is understood as the receipt of the order, the acceptance of the conditions presented in the respective proposal, and other essential information for its acceptance.

6. Until full payment, the product cannot be used as collateral, pledged by third parties, or sold.

7. The risk of loss or deterioration is the responsibility of the Client from the moment the material is placed at 360 Pro Stone's facilities at the disposal of the Client.

2. PRICES

1. Prices are expressed in EURO.

2. Prices and other indications in catalogs, tables, brochures, and newsletters are for informational purposes. The prices in effect on the date of supply prevail.

3. In case of extensions of delivery times due to the fault of the Client or changes in economic or other circumstances, 360 Pro Stone may make price adjustments.

3. DELIVERY TIME

1. The delivery time is as stated in the Order Confirmation (360 Pro Stone Client Order) once all technical, commercial, and financial conditions are satisfied by the Client, reserving the right for 360 Pro Stone to change and/or reconfirm this time.

2. 360 Pro Stone reserves the right to make partial deliveries/installations and to make/install these deliveries separately.

3. The deadline is considered extended for justified or force majeure reasons, including but not limited to: declaration of war, revolution, mobilization, strike even if partial, closure or interruption of service in warehouses, workshops, or factories of builders or their raw material suppliers, resulting from fire, flood, machine breakdown, strike, epidemic, interruption of communication routes, stock rupture, poor results in preliminary tests, difficulties in acquisition, transport, or importation of materials, and in general, for reasons beyond the control or foresight of the supplier.

4. The supply is considered fulfilled once the Client is notified that the goods are ready to be dispatched.

5. Delays in deliveries cannot be invoked for claims of direct or indirect damages, nor will they be grounds for contract termination.

6. The indication of delivery times is subject to confirmation.

4. TRANSPORT

1. 360 Pro Stone is directly or indirectly responsible for delivering material orders or transporting materials for installation at the Client's site.

2. The means of transport used are contracted by 360 Pro Stone.

5. INSURANCE AND LIABILITY

1. Without prejudice to what is provided in point 4, the Client undertakes to take out insurance covering damages to its personnel and their property, as well as third parties and their property.

6. PAYMENT

1. All orders will be paid in advance until other conditions are approved.

2. Failure to comply with the payment within the established period incurs the application of commercial interest.

3. In case of non-compliance with the previously established payment conditions, 360 Pro Stone may temporarily or permanently suspend credit supply and/or report the claim to the Credit Insurance Company without prior notice and at the Client's expense when the payment deadline for the invoices exceeds 30 days after their due date.

4. Payment can be made in cash or by bank transfer.

7. LIABILITY FOR DEFECTS

1. Unless otherwise stipulated, 360 Pro Stone provides a warranty against manufacturing defects within the expressly indicated characteristics for a period of 12 months and/or others given by the supplier from the delivery date and/or the date the material is made available to the Client. The Client must prove, in writing, the alleged defects, without prejudice, if applicable, to the rights conferred on the consumer by Decree-Law No. 67/2003 of April 8, 2013, which are not affected by the warranty granted here.

2. Replacements or repairs resulting from deterioration or accidents due to negligence, lack of supervision, or defective use of the material are not covered by the warranty.

3. Any liability of 360 Pro Stone for direct or indirect damages (lost profits) caused by the supplied material and/or assembly, maintenance, or repair services, when due to misuse or maintenance by the Client or third parties, is expressly excluded.

4. The Client is responsible for damages caused to the acquired goods by him or by third parties.

8. COMPLAINTS AND RETURNS

1. 360 Pro Stone does not accept any return of products, as each product is designed specifically for each client.

2. No complaints will be admitted or accepted after 48 hours of installation.

9. GENERAL CONDITIONS

1. 360 Pro Stone and the Client can only transfer their rights and obligations to third parties after prior and express agreement from both parties.

2. All conditions of the proposals are subject to confirmation by 360 Pro Stone upon acceptance of the order, regarding compliance with Decree-Law No. 366-A/97.

3. These general sales conditions will apply in their entirety or only in part if there are written special conditions that contradict them.

4. 360 Pro Stone reserves the right to debit the Client with the administrative cost of €15, in addition to the costs incurred with the return of checks and/or Commercial Letters, including commissions and other bank charges.

5. Goods delivered on Consignment or as Samples will be invoiced within a maximum of 30 days after delivery to the Client and/or its representative.

10. PERSONAL DATA PROTECTION

1. In the case of the transmission of personal data by the Client to 360 Pro Stone, or from 360 Pro Stone to the Client, within the scope of this contract, the Client guarantees compliance with the applicable national legislation on privacy and personal data protection, as well as compliance with the General Data Protection Regulation (GDPR).

2. 360 Pro Stone ensures compliance with the current national legislation on the protection of personal data and Regulation 2016/679 of April 27, 2016. Personal data is preserved with adequate technical/organizational safeguards.

4. 360 Pro Stone undertakes to apply its information security and privacy policy, which can be consulted on its institutional website at privacy@prostone.pt.

11. LAW AND COMPETENT COURT

1. Whenever it is not possible to resolve any dispute by mutual agreement, it is expressly stated that the competent court is that of the district of Porto, and the law will be Portuguese.
